Formation/Dissolution of Business Entities:

Deals with setting up corporations (private or 'closely held' corporations vs. those with publicly offerings), limited liability companies (LLC), general and limited partnerships, sole proprietorships, joint ventures, etc.

Mergers & Acquisitions:

Atlanta area attorneys dealing with this sub-specialty are primarily engaged by the larger corporations’ in-house legal departments. Among other things, they deal with statutory (securities laws) and regulatory (SEC-promulgated rules) compliance, antitrust law, and state and federal corporation codes.

Shareholder Derivative Suits:

Shareholders of a corporation who, for one reason or another, need to sue directors of their corporation on behalf of the corporation cannot sue them in their individual capacities. Under long-standing rules of civil procedure and the “common” (i.e., judge-made) law of most jurisdictions in the US, such shareholders must institute what is known as a “shareholder derivative action.”

Securities Litigation:

Private investors who were damaged by a corporation’s improper securities transaction or by an improper or fraudulent claim made in a corporation’s prospectus issued to potential investors, or by an incomplete disclosure during a corporation’s initial public offering would want to seek out a competent and experienced securities litigation attorney. Deals with the use of offshore corporations and trusts to shield a person’s property from easy attachment by frivolous law suits and legal tax avoidance (as compared to illegal tax evasion) purposes. It involves the selection and utilization of various offshore “tax havens” or financial privacy havens and often the creation of complex corporate structures, sometimes to conceal assets or to make them inaccessible to potential plaintiffs.
